Genie SmartCare General Terms of Service

These General Terms of Service ("Terms") are entered into by Genie Health Pte. Ltd. and/or its corporate affiliates (collectively, "Genie") and the Customer, and govern the Customer's access to and use of the Services.
1. Definitions and Interpretation
Defines key terms including Account, Affiliate, Client Data, Customer Application, Customer Content, Data Incident, Data Protection Legislation, End User, Fees, Genie SmartCare API, Genie SmartCare Platform, Intellectual Property Rights, PDPA, Personal Data, Services, Term, and Third-Party Services.
2. Services
The Services are provided solely as administrative support and data presentation tools. They do not constitute medical advice, clinical decision support, diagnosis, treatment, or care delivery. The Genie SmartCare Platform is not intended to function as a Clinical Decision Support System, clinic management system, electronic medical record, or regulated medical device.
3. Third-Party Services
The Services may interact with Third-Party Services. Genie is not liable for any Third-Party Service Changes.
4. Customer Obligations
The Customer must ensure compliance with this Agreement, prevent unauthorised access, obtain required consents, and not misuse the Services including by reverse engineering, reselling, or introducing malware.
5. Personal Data Protection
Each Party will comply with Data Protection Legislation. Genie processes Customer-Provided Personal Data only to provide, secure, and monitor the Services. The Customer warrants that all data has been collected in compliance with applicable law.
6. Payment
Fees are non-refundable except as required by law. Late payments may bear interest at 1.5% per month. Genie may change Fees with 30 days' notice.
7. Intellectual Property Rights
The Customer obtains a limited, non-exclusive, non-transferable licence to access and use the Services for internal business purposes only. No ownership rights are transferred.
8. Suspension
Genie may limit or suspend access if required by law, if the Customer violates this Agreement, or if suspension is needed to protect the Services or other customers.
9. Term and Termination
Either Party may terminate for material breach or insolvency. Genie may terminate immediately for Sanctions violations. The following clauses survive termination: 6, 7, 9, 10, 11, 12, 13 and 15.
10. Warranties; Disclaimer
The Services do not provide medical advice. All clinical decisions remain the responsibility of the Customer. The Services are provided "as is".
11. Indemnification
Customer agrees to indemnify Genie against claims arising from misuse, Customer Applications, Customer Content, clinical decisions, failure to obtain patient consents, breach of applicable laws, or breach of Third-Party Service Terms.
12. Limitation of Liability
Neither Party is liable for indirect, punitive, incidental, special, or consequential damages. Each Party's total liability is capped at fees paid in the preceding six months.
13. Confidentiality
Each Recipient will protect the Discloser's Confidential Information and only use it to exercise rights under this Agreement.
14. Content Moderation and User Conduct
SmartMessages utilises AI-driven guardrails. Genie may suspend End Users for harassing or abusive conduct. Genie is not liable for content sent by End Users.
15. General
This Agreement is governed by Singapore law. Disputes are resolved by arbitration under the Singapore International Arbitration Centre rules.
